Position:                        President and Member of the Board of Directors

 

Terms of Services:        1 year (Automatic succession from post of President Elect)

 

Reports to:                    IPMA General Membership

 

 

PRINCIPAL RESPONSIBILITIES OF BOARD MEMBERS

 

1.       The Board of Directors is the administrative body of the IPMA.  Members of the Board share the responsibility for the Association’s business, its affairs and properties, and disbursement of its funds subject to the bylaws.

 

2.       The Board of Directors is ultimately responsible for the adoption and approval of the IPMA annual budget.

 

3.       The Board of Directors shall meet at such times and places as its business may require, usually meeting at least four (4) times each year.

 

4.       The Board of Directors shall provide for the preparation and dissemination of information concerning the principles and practice of podiatric medicine, the activities of the Association, and other matters of interest to the members.

 

5.       The Board of Directors shall decide, subject to the appeal process, all questions of unprofessional conduct and of violations of the Bylaws, the code of Ethics and provisions of the Podiatric Medical Practice Act, to the extent provided therein.

 

6.       The Board of Directors may make additional rules to govern its sessions.

 

 EXPECTATIONS OF BOARD MEMBERS

 

A)                Board members are expected to attend all meetings of the Board of Directors and to fully participate in all scheduled activities of the Association, including its Annual Meeting and Legislative/Lobby Day.

 

B)                 Board members are expected to serve without compensation or reimbursement of direct expense, unless such expenses are specifically appropriated.

 

C)                 Board members are expected to serve as volunteers at IPMA sponsored events.

 

D)                Board members are expected to prepare for all meetings through review and reading of provided materials as well as discussing non-confidential matters of business with other interested IPMA members.

 

E)                 Board members are expected to support, in word and in deed, the majority decisions reached by the Board of Directors for the benefit of the IPMA membership.

 

F)                  Board members are expected to have access to, be familiar with and consistently use email as one of the primary means of receiving information and communicating with staff and consultants.

 

SPECIFIC RESPONSIBILITIES OF THE PRESIDENT

 

1)                  The President shall preside at all meetings of the Association, the board of Directors and the Executive Council and shall supervise the work of the other Associations officers

 

2)                  The President shall appoint the members of the Continuing Education Committee, the Nominating Committee, the Audit Committee and two (2) Directors-at-Large to the Finance Committee, any other standing committees established by the board in accordance with the bylaws, ad hoc committees, task forces  and serves as an ex-officio member of all Association committees except the Nominating Committee.

 

3)                  The President appoints the members of the board of Directors of the Illinois Foot Health Education Foundation, consistent with the Bylaws of that group.

 

4)                  The President serves as an Alternate APMA Delegate and attends the meeting of the APMA House of Delegates as provided in the Bylaws.

 

5)                  The President discharges specific duties under Article III, Section 5 - - Ethics and Discipline (IPMA Bylaws).

 

6)                  The President works with the Executive Director to effectively coordinate the Association’s legislative Program, in conjunction on with appropriate committees and the IPMA Legislative Counsel.

 

7)                  The President will direct the full participation of officers, and board members in the activities of the Association.

 

8)                  The President is an authorized signatory on accounts of the IPMA.

 

SPECIFIC EXPECTATIONS FOR THE PRESIDENT

 

A)                The President will attend all of the principal activities of the Association and will represent the Association’s leadership at meetings and other IPMA sponsored events.

 

B)                 The President will work with the Executive Director to assure that administrative staff is effectively executing the policies of the IPMA Board.

 

C)                 The President will work with allied organizations, including the Student Chapter at the William Scholl College of Podiatric Medicine, and the Illinois Society of Podiatric Medical Assistants.

 

D)                The President will serve as the principal spokesperson for the Association to the media, the Illinois General Assembly, and other medical and lay audiences.

SPECIFIC RESPONSIBILITIES OF THE PRESIDENT-ELECT

 

1)                  The President Elect shall, in the absence of or at the request of the President, perform the duties of the President

 

2)                  The President-Elect shall serve as Chairperson of the Division of Internal Affairs and shall direct the committees organized under that Division.

 

3)                  The President Elect shall make recommendations to the President of persons qualified to be chairperson and members of the committees in that Division.

 

4)                  The President-Elect shall serve as Chair of the Nominating Committee and of the Continuing Education Committee and shall serve as an Alternate APMA Delegate and will attend the meeting of the APMA House of Delegates as provided in the Bylaws.

 

5)                  The President Elect shall serve as a member of the Executive Council.

 

6)                  The President Elect is an authorized signatory on the IPMA accounts.

 

7)                  The President Elect, working with IPMA administrative staff, is responsible for the planning and conduct of the Annual Meeting at which he/she is installed as President of the Association.

 

8)                  The President Elect will report on activities of the Division of Internal Affairs at every meeting of the Executive Council and of the Board of Directors and will prepare a written annual report of the Division’s achievements.

 

 

SPECIFIC EXPECTATIONS OF THE PRESIDENT-ELECT

 

A)                The President-elect will attend all of the principal activities of the Association and will represent the Association’s leadership at meetings and other sponsored events.

 

B)                 The President Elect will closely supervise any membership retention and recruitment campaigns, in concert with the IPMA administrative staff and with the Chairperson of a Membership Committee.

 

C)                 The President Elect will advise the President on matters of policies and procedures, especially in the area of volunteer recruitment.

1)                  The Immediate Past President is entitled to membership on the Board of Directors for a period of three years after completing his/her service in the office of Association President.

 

2)                  The Immediate Past President shall serve as a member of the Executive Council for one year after the completion of his/her term as President of the Association.

 

 

SPECIFIC EXPECTATIONS OF THE IMMEDIATE PAST PRESIDENT

 

A)                The Immediate Past President will attend all of the principal activities of the Association and will represent the Association’s leadership, as assigned by the President, at meetings and sponsored events of the Association or allied organizations.

 

B)                 The Immediate Past President will offer counsel to the officers on the Executive Council.

3)                  The Vice-President is an authorized signatory on the IPMA accounts.

 

4)                  The Vice-President will report on activities of the Division of External Affairs at meetings of the Executive Council and every meeting of the Board of Directors.

 

5)                  The Vice President shall serve as an Alternate Delegate to the APMA and will attend the meeting of the APMA House of Delegates as provided in the Bylaws.

 

6)                  The Vice-President will assist all other officers, as required, to assure continuity in membership programs and services.

 

 

SPECIFIC EXPECTATIONS OF THE VICE PRESIDENT

 

A)                The Vice-President will attend all of the principal activities of the Association and will represent the Association’s leadership, as assigned by the President, at meetings and sponsored events of the Association or allied organizations.

 

B)                 The Vice-President will advise the President on programs and activities that the Association should consider developing or participating in the area of special affairs.

SPECIFIC RESPONSIBILITIES OF THE TREASURER

 

1)                  The Treasurer shall be the custodian of all monies of the Association and shall pay out monies only upon order of the Board.

 

2)                  The Treasurer shall meet regularly with the Executive Director to review the administration of the Association’s budget and fiscal affairs.

 

3)                  The Treasurer shall keep accurate records of those members who have paid and those who owe dues payments to the Association.

 

4)                  The Treasurer shall deliver a report on the financial status of the IPMA at every meeting of the Board of Directors and of the Executive Council.

 

5)                  The Treasurer shall recommend a certified public accounting firm to the Board of Directors for the preparation of an annual audit of Association’s finances.

 

6)                  The Treasurer shall be an authorized signatory on IPMA accounts.

 

7)                  The Treasurer shall recommend specific policies and procedures to the Board of Directors for the safekeeping and effective administration of IPMA accounts.

 

8)                  The Treasurer shall be bonded in an appropriate amount and the premium for that bond shall be paid by the Association.

 

9)                  The Treasurer shall serve as a member of the Executive Council.

 

10)               The Treasurer shall chair the Investment Committee, be a member of the Finance and an ex officio member of the Audit Committee.

 

 

 

SPECIFIC EXPECTATIONS OF THE TREASURER

 

A)                The Treasurer will attend all of the principal activities of the Association and will represent the Association’s leadership, as assigned by the President, at meetings and sponsored events of the Association or allied organizations.

 

B)                 The Treasurer will advise the President on financial policies and procedures for the Association.

SPECIFIC RESPONSIBILITIES OF THE SECRETARY

 

1)                  The Secretary shall be responsible for the records and the minutes of all meetings and shall be custodian of the Association seal. The Secretary will record all motions at meetings of the board and Executive Council to ensure accuracy of the minutes generated by IPMA staff.

 

2)                  The Secretary shall maintain a roster of all members of the Association and pertinent information relative to such a roster.

 

3)                  The Secretary serves as Chair of a Membership committee and is responsible for the membership process, from initial application to approval by the Board of Directors.

 

4)                  The Secretary is works with the staff on any and all membership recruitment and retention efforts.

 

5)                  The Secretary shall sign all official papers with the President and shall be responsible for all notices of meetings.

 

6)                  The Secretary shall maintain a permanent record of all motions, resolutions, rules and regulations adopted by the Association.

 

7)                  The Secretary shall be responsible for publishing at the appropriate time in an official Association publication proposed amendments to the Association’s Bylaws and the names of Association members nominated for office.

 

8)                  The Secretary shall serve as a member of the Executive Council and the Investment Committee.

 

9)                  The Secretary is an authorized signatory on the IPMA accounts.

 

 

SPECIFIC EXPECTATIONS OF THE SECRETARY

 

A)                The Secretary will attend all of the principal activities of the Association and will represent the Association’s leadership, as assigned by the President, at meetings and sponsored events of the Association or allied organizations.

 

B)                 The Secretary will advise the President on programs and activities that the Association should consider in the area of policies and procedures, especially as they apply to membership processing and records retention.

 

POSITION DESCRIPTION

 

 

Position:                        Member at Large, Member of the Board of Directors

 

Terms of Services:        1 year (Annual Election by the IPMA Membership)

 

Reports to:                    President

 

 

PRINCIPAL RESPONSIBILITIES OF BOARD MEMBERS

SPECIFIC RESPONSIBILITIES OF MEMBERS-AT-LARGE

 

1)                  A Member-at-Large shall serve as a member of the IPMA Board of Directors.

 

2)                  An IPMA Director-at-Large shall be responsible for active participation in all membership retention and recruitment campaigns conducted by the Association.

 

3)                  An IPMA Member-at-Large shall actively participate in duties assigned by the President.

 

 

SPECIFIC EXPECTATIONS OF MEMBERS-AT-LARGE

 

A)                An IPMA Member-at-Large is expected to attend all of the principal activities of the Association including the Annual Meeting and Legislative/Lobby Day.

 

 

POSITION DESCRIPTION

 

 

Position:                        APMA Alternate Delegate  

 

Terms of Services:        1 year (Election by the IPMA General Membership)

 

Reports to:                    IPMA Board of Directors

 

 

PRINCIPAL RESPONSIBILITIES

The IPMA Alternate Delegate is elected to contribute to the representation that the membership has in the national association’s policymaking body, the APMA House of Delegates.

 

EXPECTATIONS

 

A)                The elected alternate delegate to the APMA may be among those provided travel and expense reimbursement for attendance at the meeting of the APMA House of Delegates.

 

B)                 The APMA Alternate delegate is expected to completely review all of the agenda material provided for the House of Delegates meeting.

 

C)                  The APMA Alternate Delegate is expected to attend those meetings of Delegates and Alternates held in Illinois prior to travel at which time APMA views on national issues are discussed and debated.

 

D)                The APMA Alternate Delegate, whether reimbursed for travel or not, is expected to attend the APMA House of Delegates Meeting during his/her term of service.  Those seeking this position must understand that willingness and the intent to attend the House of Delegates meeting is a central qualification for election to this position.

 

E)                 The APMA Alternate Delegate is expected to conform to those rules and practices adopted by the IPMA and by the Delegates and Alternates for decorum and for effective participation at the House of Delegates meeting.

 

F)                  An APMA Alternate Delegate is expected to attend all of the principal activities of the Association.

 

G)                 An APMA Alternate Delegate is expected to accept and to serve the APMA House of Delegates in those cases when he/she is seated for an absent Delegate.
